1. Agreement to Terms

By accessing or using our website and services, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using or accessing this site.

These terms describe the general basis on which Jeedesigns LLC provides services. Every engagement is additionally governed by a written proposal or contract that defines scope, deliverables, timeline, and price. Where a signed agreement differs from these terms, the signed agreement prevails.

2. Our Services

Jeedesigns LLC provides software engineering services including custom web development, e-commerce development, AI automation and CRM agents, search visibility (SEO/GEO/AEO), cloud infrastructure and DevOps, and custom software development. Services are delivered in-house by our engineering team on a fixed-scope, fixed-price basis unless otherwise agreed in writing.

3. Quotes, Scope, and Change Requests

After an audit of your requirements, we issue a proposal defining the deliverables, timeline, and fixed price. Work begins only after your written approval. Requests outside the approved scope are handled as change requests: we assess impact on cost and timeline, and proceed only with your approval. This keeps pricing honest in both directions.

4. Client Responsibilities

Timely delivery depends on both sides. You agree to provide the content, access credentials, feedback, and approvals requested in the project plan within agreed timeframes. Delays in inputs shift delivery dates by the same amount. You confirm you own or have licensed all materials you provide to us.

5. Payment Terms

The fixed price is payable in milestones as defined in your proposal. Invoices are due within the period stated on the invoice. We may pause work on overdue accounts after giving notice. Third-party costs (hosting, domains, licences, model usage) are billed by their providers directly to you unless we agree otherwise in writing.

6. Intellectual Property

Upon full payment, you own the final deliverables created specifically for your project - the code, design, and content we produced for you. We retain ownership of our pre-existing tools, libraries, and internal frameworks, which we license to you as embedded in the deliverables. We may reference the engagement in our portfolio unless you ask us not to in writing.

7. Warranties and Disclaimer

We warrant that services are performed with professional skill and care, and we will correct defects in our own work reported within the warranty period stated in your proposal. Beyond that, services and this website are provided "as is". We do not warrant uninterrupted operation of third-party platforms, marketplaces, payment providers, or internet infrastructure.

8. Limitation of Liability

To the maximum extent permitted by law, our aggregate liability arising out of an engagement is limited to the fees paid for that engagement. We are not liable for indirect or consequential losses, including lost profits or lost data caused by third-party services.

9. Confidentiality

Both parties agree to keep confidential all non-public information shared during an engagement - your business data, our methods and pricing - and to use it only for the purposes of the engagement.

10. Termination

Either party may end an engagement with written notice as described in the signed proposal. You pay for work completed to the termination date; we hand over completed work, documentation, and access. These terms survive termination where their nature requires it (ownership, confidentiality, liability).

11. Governing Law

These terms and any engagement under them are governed by the laws of the State of Wyoming, United States of America, without regard to conflict-of-law principles. Disputes will be resolved in the courts of that jurisdiction unless otherwise agreed in a signed contract.
